SBI Counsel reserves the right to revise and update this Agreement at any time and for any reason, with or without notice or obligation. Your use of this Site after we post any changes constitutes your agreement to those changes and your agreement to be bound by any such revisions. You agree to periodically review this Agreement to ensure you are familiar with the most recent version. You agree that you do not have any rights in this Site and that SBI Counsel will have no liability to you if this Site is discontinued or your ability to access the Site is restricted.

Jurisdiction

The Site is controlled and/or operated from the United States, and is not intended to subject us to non-U.S. jurisdiction or laws, except as otherwise expressly stated in this Agreement. The Site may not be appropriate or available for use in some jurisdictions outside of the United States. Proprietary Rights

Content on this Site that is provided by SBI Counsel, or its licensors, including, but not limited to, certain graphics, photographs, images, screen shots, text, digitally downloadable files, audio, videos, trademarks, logos, product and program names, slogans, and the compilation of the foregoing ("SBI Content") is the property of SBI Counsel and its licensors, and is protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws.

SBI Content is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. SBI Counsel reserves all rights not expressly granted in and to the Site and the SBI Content. Limitation of Liability

Indemnification

You agree to indemnify, defend and hold harmless SBI Counsel, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement or any activity related to your use of the Site (including negligent or wrongful conduct) by you or any other person accessing the Site using your account.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in the District of Columbia.
